The ETI Board

Governance of the ETI

• The ETI Board is responsible for determining and overseeing the overall policy, strategy and activities of ETI.
   
• The Board has nine voting members or directors, comprised of three representatives from each of the three main categories of members, ie, companies, trade union organisations, and NGOs. Each of the three constituencies also has one alternate director, who may attend Board meetings as a voting member if any of the other three representatives in their constituency is unavailable.
   
• The 9 corporate, trade union and NGO directors are elected by their respective caucus groups. Once elected, NGO and corporate directors remain on the Board for up to three years, after which period they are required to stand down, but may stand for re-election. Trade union members do not elect their representatives to the ETI Board, rather they nominate them.
   
• The Board also has a tenth, non-voting director, who is a representative appointed by the UK Department for International Development (DFID). The DFID representative sits as an observer on the ETI Board.
   
• Board directorships are not paid positions.
   
• The Board is chaired by an independent Chair, who is appointed by the Board. The position of Chair is a paid position.
   
• The Board meets approximately four times a year. These quarterly Board meetings are ETI’s key decision-making fora.
